Notice of New Share Issuance in Connection with KOSDAQ Listing

At its board of directors meeting held on June 25, 2026, Nearthlab Inc. resolved on the issuance of new shares in connection with its listing on the KOSDAQ market as set out below, and hereby gives notice thereof pursuant to Article 418(4) of the Commercial Act.

1. Type and number of new shares: 937,300 – 946,400 registered common shares

* Includes 27,300 shares of the lead underwriter's mandatory underwriting portion and 0 – 9,100 shares of its mandatory acquisition portion

2. Issue price per new share: KRW 30,000 – KRW 41,200

* However, the final price shall be determined by the CEO at a later date in consultation with the lead underwriter based on the results of book-building, pursuant to Article 5 of the "Regulation on Securities Underwriting Business, Etc."

3. Share payment date: August 18, 2026 (scheduled)

* However, the final date shall be determined by the CEO at a later date, taking into account the effective date of the securities registration statement filed with the Financial Supervisory Service and the public offering schedule, among other factors.

4. Bank for share payment: Hana Bank, Yeoksam Central Branch

5. Method of allotment of new shares:

- New shares are allotted to parties other than existing shareholders, excluding shareholders' preemptive rights pursuant to Article 9(2) of the Articles of Incorporation

- Allotted pursuant to Article 9 of the "Regulation on Securities Underwriting Business, Etc."

6. Method of underwriting new shares

- The new shares offered shall be firmly underwritten in full by the lead underwriter, and other matters shall be delegated to the CEO.
